Terms and conditions

This English version is provided for convenience. The French version is the only legally binding one and prevails in the event of any discrepancy.
1Purpose
These terms and conditions govern the contractual relationship between Justin Cappelle - Software Development & Consulting (the "Provider"), a sole proprietorship entered in the Commercial Register of the canton of Vaud under number CH-550.1.246.589-6, and any individual or legal entity (the "Client") that uses its services.
Placing an order or signing a quote constitutes unreserved acceptance of these terms and conditions.
2Services offered
The Provider offers the following services: design and development of custom websites, redesign of existing websites, user interface design (UI/UX), search engine optimisation (SEO), tool integration and automation (AI, CRM and similar), maintenance and technical support, and digital strategy consulting.
The exact scope of each service is defined in the quote approved by the Client.
3Quotes and orders
Every project is covered by a detailed quote, sent by email or through the project management platform. A quote is valid for 30 days from its date of issue.
An order becomes firm and final once the signed quote and the agreed deposit have been received.
4Prices and payment terms
Prices are stated in Swiss francs (CHF), excluding tax. The Provider is not registered for VAT.
Payment is made as follows: a 50% deposit when the quote is signed, before work begins. The remaining 50% on delivery of the project, before the final go-live. For larger projects, a payment schedule in 3 or 4 instalments can be agreed.
Payments are accepted by bank transfer or TWINT. Late payments automatically incur default interest of 5% per year, in accordance with the Swiss Code of Obligations (art. 104 CO).
5Delivery timelines
Timelines given in the quote are indicative. The Provider undertakes to meet the agreed timelines as far as possible. They may, however, be extended if the Client supplies content late, requests changes during the project, or in the event of force majeure.
The Provider will inform the Client of any foreseeable delay as soon as possible.
6Client obligations
The Client undertakes to supply the necessary content (text, logos, images, access to existing accounts) within the agreed timelines, to appoint a single contact person to make communication easier, to approve interim stages within a reasonable period of 7 working days, and to pay invoices by their due date.
7Approval and delivery
The project is presented to the Client for approval at each key stage (mock-up, development, pre-production). The Client has 7 working days after each presentation to give feedback.
The quote includes a set number of revision rounds. Any further changes are covered by an amendment invoiced at the current hourly rate. If no feedback is received within the set period, the stage is deemed approved.
8Intellectual property
Once payment has been received in full, the Client acquires full ownership of the deliverables produced for the project (source code, design and custom-made content).
The Provider retains the right to feature the project in its portfolio and marketing materials, unless otherwise agreed in writing.
Generic tools, frameworks, libraries and components used in the project remain the property of their respective authors and are subject to their own licences.
9Hosting and domain name
Unless otherwise stated in the quote, hosting and the domain name are the Client's responsibility. The Provider can advise on and set up the hosting solution, but recurring costs (annual subscription, domain renewal) are borne by the Client.
10Maintenance and support
A 30-day warranty period is included after go-live. During this period, the Provider fixes free of charge any bug or technical fault directly related to its work.
After this period, a maintenance contract can be offered. One-off work outside a contract is invoiced at the current hourly rate.
11Termination
If the Client terminates the contract before the project is completed, the deposit paid is retained by the Provider. If the work carried out exceeds the amount of the deposit, the Client will be invoiced pro rata for the work done.
The Provider reserves the right to suspend or terminate the contract in the event of non-payment, a serious breach of the Client's obligations, or conduct that makes working together impossible.
12Limitation of liability
The Provider cannot be held liable for indirect damage (loss of revenue, loss of data, reputational harm) that may result from the use of, or inability to use, the delivered website.
The Provider's total liability is limited to the total amount paid by the Client for the service concerned.
13Confidentiality
Each party undertakes to treat all information exchanged during the project as confidential. This obligation remains in force for the full term of the contract and for 2 years after it ends.
14Governing law and jurisdiction
These terms and conditions are governed by Swiss law. In the event of a dispute, the parties undertake to seek an amicable solution. Failing agreement, the courts of the canton of Vaud have exclusive jurisdiction.
